Welcome to FlashRDP. By registering an account, purchasing a service, or accessing our infrastructure, you are entering into a legally binding agreement with FlashRDP.
Please review these Terms of Service carefully. Your continued use of FlashRDP services constitutes your explicit consent to adhere to all policies, guidelines, and commitments outlined below.
1. Agreement Framework
By accepting these Terms, you represent and warrant that you are at least 18 years of age and have the full legal capacity to enter into this agreement. This electronic acceptance constitutes a valid, enforceable signature under applicable e-signature laws.
These Terms of Service (ToS), together with all incorporated policies, constitute the entire agreement between you and FlashRDP. If any provision is held invalid or unenforceable, it shall be severed, and the remaining provisions will continue in full force.
By using our platform, you agree to be bound not only by this Introduction but also by the following nested policies:
- Use of Service: Our Acceptable Use Policy (AUP) defining strictly prohibited activities.
- User Responsibilities: Your obligations regarding account security, server management, and data backups.
- Payment Terms: Rules surrounding billing, auto-renewals, chargebacks, and refunds.
- Termination of Service: Our strict protocols on service suspension, termination, and immediate data destruction.
2. Nature of Services
FlashRDP provides high-performance, unmanaged cloud infrastructure, specializing in Virtual Private Servers (VPS) and Remote Desktop Protocol (RDP) solutions.
- Hardware and Network: FlashRDP is solely responsible for maintaining the physical hardware, hypervisors (KVM), high-speed NVMe storage arrays, and network connectivity (including our High-Speed 1 Gbps network infrastructure — see Use of Service for bandwidth allocation details).
- Unmanaged Infrastructure: We provide you with raw compute resources and full Administrator (Windows) or Root (Linux) access. You are entirely responsible for the software, operating system configuration, security hardening, and data stored on your server.
3. Modification of Terms
FlashRDP reserves the right to modify, amend, or update these Terms of Service at any time to reflect changes in our operational procedures, legal obligations, or service offerings.
For any material changes to these Terms, FlashRDP will provide a minimum of 30 days’ advance notice via email and through an announcement in your client portal.
Continued access or use of FlashRDP services following the effective date of any revisions constitutes your binding acceptance of the updated terms. If you do not agree to the new terms, you have the right to terminate your services and request a prorated refund for any unused prepaid tenure prior to the changes taking effect.
4. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, FlashRDP shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising out of service interruptions, hardware failures, or Force Majeure events. Full disclaimers, mutual consequential damages waiver, and the aggregate liability cap are set out in Section 6 below, which governs in all cases.
Furthermore, you agree to defend, indemnify, and hold harmless FlashRDP, its employees, and affiliates against any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of our services, your violation of our Acceptable Use Policy, or your infringement of any third-party rights.
5. Governing Law & Dispute Resolution
These Terms are governed exclusively by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.
Mandatory Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the FlashRDP services shall be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in Laramie County, Wyoming, USA.
Class Action Waiver: YOU AND FLASHRDP WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. All disputes must be brought on an individual basis only.
Jury Trial Waiver: TO THE EXTENT PERMITTED BY APPLICABLE LAW, BOTH PARTIES WAIVE ALL RIGHTS TO A TRIAL BY JURY IN ANY ACTION ARISING FROM OR RELATED TO THESE TERMS.
Statute of Limitations: Any claim arising from these Terms must be filed within one (1) year after it arose, regardless of any longer period permitted by law. Claims not filed within this period are permanently barred.
Injunctive Relief: Any breach or threatened breach of the AUP or IP provisions would cause FlashRDP irreparable harm. FlashRDP may seek injunctive relief in any court without posting bond and without proving actual damages.
Small Claims Carve-Out: Either party may bring an individual action in small claims court for disputes within that court’s jurisdictional limits, provided the action remains individual and is not consolidated with any other claim.
6. Warranties, Liability & Force Majeure
AS-IS Disclaimer: FLASHRDP SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLASHRDP EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLASHRDP DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Consequential Damages: IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
Aggregate Liability Cap: FLASHRDP’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO FLASHRDP IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Force Majeure: FlashRDP is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government actions, civil unrest, fiber cuts, upstream provider outages, DDoS attacks against FlashRDP infrastructure, or power grid failures. FlashRDP’s obligations are suspended for the duration of any such event.
7. General Provisions
Waiver: FlashRDP’s failure to enforce any provision shall not constitute a waiver of that right. No waiver of any breach constitutes a waiver of any subsequent breach of the same or any other provision.
Survival: The following provisions survive termination for any reason: Limitation of Liability, Indemnification, Governing Law, Arbitration, all unpaid Payment Obligations, AUP enforcement, Data Destruction Protocol, IP ownership, and any provision that by its nature should survive.
No Third-Party Beneficiaries: These Terms confer no rights or remedies on any person or entity other than the parties to this agreement. No third party may enforce any provision herein.
Language: These Terms were drafted in English. In any conflict between an English version and a translated version, the English version controls in all respects.
Assignment: FlashRDP may assign these Terms or any rights hereunder to any affiliate, successor, or acquirer in connection with a merger, acquisition, restructuring, or sale of assets, without your consent. You may not assign or transfer these Terms or your account without FlashRDP’s prior written consent. Any purported assignment in violation of this clause is void.
Cumulative Remedies: FlashRDP’s rights and remedies under these Terms are cumulative and not exclusive of any other rights or remedies at law or in equity. Exercise of one remedy does not preclude exercise of any other.
Attorney Fees: In any dispute arising from your breach of these Terms (including AUP violations, payment defaults, chargebacks, or indemnification obligations), you agree to reimburse FlashRDP for all reasonable attorney fees, court costs, and collection costs incurred.
Feedback License: Any suggestions, ideas, feedback, or recommendations you provide regarding FlashRDP services are granted to FlashRDP as a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and commercialize without restriction or compensation to you.
